Member News | Schröder Attorneys have taken a well-grounded step of taking South African company law to Europe.
South Africa continues to play an important role as a gateway for trade and investment into Africa. As international commercial relationships expand, there is a growing need for foreign businesses and their advisers to gain a practical understanding of South African company law and the legal environment in which local businesses operate.
It is against this background that Rechtsanwalt (Avocat à la Court) and Attorney Kay Schröder, Senior Partner of Schröder Attorneys, recently authored the South African chapter of a leading German-language publication on international company law. The work forms part of a comprehensive anthology (Wegen/Spahlinger/Barth, issued by the CH Beck Verlag, München) describing the company laws of more than fifty jurisdictions and is intended primarily for attorneys, banks, insurers, corporate advisers and investors throughout the German-speaking world.
Having practised corporate and commercial law for almost four decades, Mr Schröder approached the project from a practitioner's perspective. The objective was not to produce an academic commentary, but to provide practical guidance that would enable readers to understand how South African company law functions in everyday commercial life. Topics range from company formation and governance to directors' duties, shareholder rights, corporate finance and business rescue.
The publication represents another opportunity to showcase South Africa's rather sophisticated company law to an international audience. A clearer understanding of our legal framework assists overseas businesses in evaluating investment opportunities, establishing local operations and working confidently with South African companies and professionals.
For Schröder Attorneys this is a further step to bundle their experiences in different fields of law and they are proud to have contributed to a publication that strengthens international understanding of South African company and commercial law and, in doing so, helps promote South Africa as a trusted and attractive destination for business and investment.
