Saint-Gobain Strengthens Governance and Renews Commitment to Sustainability
The French South African Chamber of Commerce and Industry (FSACCI) is pleased to report on the recent developments at Saint-Gobain, a platinum member of the FSACCI. As a leading global player in sustainable construction and building materials, Saint-Gobain recently held its Shareholders' Meeting and Board of Directors' Meeting on June 6, 2024. These meetings announced significant changes in the company's governance structure, leadership, and sustainability focus.
Enhanced Governance for Renewed Strength
Saint-Gobain has implemented a new governance structure to ensure strong leadership and independent oversight. This includes the appointment of three new Independent Directors: Sophie Brochu, Hélène de Tissot, and Geoffroy Roux de Bézieux. Jean-François Cirelli was also reappointed as a director and named Lead Independent Director and Vice-Chairman of the Board.
The Board's composition now reflects a strong emphasis on independence, with 82% of directors being independent, 37% being foreign directors, and 55% being women (excluding employee representatives). Furthermore, all Board committees are now chaired by Independent Directors, including the Audit and Risk Committee, the Nominations and Remuneration Committee, and the Corporate Social Responsibility Committee.
Leadership Changes and Continued Sustainability Focus
Pierre-André de Chalendar stepped down as Director and was appointed Honorary Chairman. Jean-Dominique Senard and Iêda Gomes Yell also concluded their terms on the Board. Benoit Bazin was appointed Chairman and Chief Executive Officer, combining the previously separate roles.
Saint-Gobain remains committed to achieving net zero carbon emissions by 2050. The company's focus on sustainability continues to be a core aspect of its strategy, with its integrated solutions designed to address the needs of the construction and industrial markets.
